DICHE FOUNDATION CONSTITUTION


ARTICLE 1: INTRODUCTION OF THE CONSTITUTION.

SECTION 1. NAME AND REGRISTRATION OF THE FOUNDATION.

  • The reason why DICHE FOUNDATION was founded for DISABLED AND ORPHAN CHILDREN WOMEN AND SENIOR AGES FOR HEALTH, EDUCATION AID to make the marginalized group get of educational, life skills and health support.
  • DICHE FOUNDATION was founded to provide educational support to the disabled orphan and children with albinism who are not studying.
  • It was also formed to carter for street children for example removing them from the street to better homes and also to educate them. Community capacity building to all cross cutting issues.

SECTION 2: DEFINITION

This constitution of DICHE FOUNDATION, as defined by its sections there following abbreviations will means as follows;
FOUNDATION: As the FOUNDATION FOR DISABLED AND ORPHAN CHILDREN WOMEN AND SENIOR AGES FOR HEALTH AND EDUCATION AID In short DICHE.
CHAIRMAN” Is any person elected by the General meeting of DICHE FOUNDATION once per five years term must be among the founder members.
GENERAL MEETING” Is a mass member majority meeting comprises of more than (50%).
VISION & MISSION” Are the goals to be achieved.
MEMBER” Is a DICHE FOUNDATION participant.
COMMITTEE” Is the DICHE FOUNDATION executive members.
SECRETARY” Is the Executive secretary.
REGISTER” Enrollment book of all members.

ARTICLE 2: MISSION,VISION AND PENAL CODE OF CONDUCT.

SECTION 3: MISSION
  • Community sensitization and mobilization on disabled discrimination, HIV/AIDS, stigma, through creative presentation as Drama, Poems, Debates, community radio and Tv talk show.
  •  Family tracing and assessment of needy disabled children in their communities and families near the area of operation.
  • Promoting and encouraging education to families who have disabled children, albinism and affected by HIV/AIDS especially orphans left through provision of school fees, uniforms, scholastic materials to re-enter formal schoolings.
  • Provision of basic needs i.e. food, clothing, medical care, to children heading families and children with disabilities, within the Foundation coverage.
  • Establishment of community radios and Television programs with the association of both local and international counterpart.

  SECTION 4: VISION
           To build the capacity of Foundation to manage, address all demands of the respective marginalized group by mobilizing effort through a variety of local, national and international mechanism to enable them to reach their dreams.

 SECTION 5: PENALCODE OF CONDUCT
               DICHE FOUNDATION will operate harmony under the regulation and constitution of the United Republic of Tanzania including all laws and the penal codes.

ARTICLE 3.MEMBERSHIP AND TYPES OF MEMBERSHIP.

SECTION 6: MEMBERSHIP

  • Membership DICHE FOUNDATION shall be open to anyone who is interested in helping the foundation to achieve its aim and willing to abide by the rules of the foundation.
  • Every member shall have one vote at general meetings.
  • The Management Committee shall have the power to refuse membership to an applicant, where it is considered such membership would be detrimental to the aims, purposes or activities of the foundation.

SECTION 7: TYPES OF MEMBERSHIP
DICHE FOUNDATION will have three types of Membership;

1. FOUNDER MEMBER.
These are the DICHE FOUNDATION founder members who agreed to the vision and mission who together aimed to address the mistreated rights to the marginalized group in their community.
2. JOINT/APPLICANT MEMBER.
These are the DICHE FOUNDATION members who joined through application to the committee member.
3. HONORABLE MEMBER. These are the DICHE FOUNDATION members who joined through his/her title and influential to the society in the area the DICHE FOUNDATION is operating.

SECTION 8: MEMBERSHIP RIGHTS

  • A member has the right to be selected and select.
  • A member has the right know the Foundation’s Incomes and Expenses.
  • A member has the rights to participate in foundation activities planning.
  • A member has the rights to participate in all DICHE FOUNDATION meetings as per regulation.
  • A member has the right to have the meetings minutes.
  • A member has the rights to freedom of speech on the foundation matters.
  • A member has the rights to terminate membership with a provision to the secretary a 7 days written notice to that effect.

SECTION 9: DUTIES AND RESPONSIBILITIES OF A MEMBER

  • To respect the management committee and the entire foundation members
  • To attended all constitutional meetings
  • Fully participation in all foundation duties.
  • To be ready to volunteer if needed in foundation activities.
  • Member should understand and defend the DICHE FOUNDATION constitution.
  • Member should follow all regulation and rules of the foundation.
  • Member should pay all contribution fees accordingly.

SECTION 10: TERMINATION OF MEMBERSHIP

  • Death
  • Free own termination.
  • Not attending three General meetings consecutively.
  • Without paying foundation fee under a period of two years consecutively.
  • All kinds of sabotage to the DICHE FOUNDATION
  • All kinds of mental impairment verified by medical specialties.

ARTICLE 4. DICHE FOUNDATION MANAGEMENT AND STAFF PERSONNEL.

  • DICHE FOUNDATION shall be administered by a Management Committee of not less than three (3) people and not more than fifteen (15) members elected at the groups Annual General Meeting, Committee Members must be at least 18 years old.
  • The officers of the Management Committee shall be:
  • o The Chairperson
  • o The Treasurer
  • o The Secretary
  • o And such other officers the group shall consider necessary at the meeting.
  • o The foundation should also have a permanent staff for daily supportive duties.
  • The Management Committee shall meet at least three times a year (quarterly).
  • At least five (5) Management Committee members must be present for the Management Committee meeting to take place.
  • Voting at Management Committee meetings shall be by show of hands on a majority basis. If there is a tied vote then the chairperson shall have a second vote.
  • Power to set up sub-groups and working parties as considered necessary who shall be accountable to the DICHE FOUNDATION committee.

  1. EXECUTIVE CHAIRMAN
  •  He/she is the overall in charge of the DICHE FOUNDATION.
  •  He/she is the DICHE FOUNDATION spokesman.
  •  A representative of the foundation to local, national and international counterparts.
  •  To convene and chair all foundation meetings .
  •  To manage all DICHE FOUNDATION financial, properties and assets.
  •  Endorsement of all DICHE FOUNDATION payments.

GENERAL SECRETARY
  • He/she is responsible to prepare all minute meeting
  • He/she is responsible to prepare and documentation of all DICHE FOUNDATION documents.
  • He/she will be among the revenue approval.
  • He/she will be in charge of all project activities.

ASSISTANT SECRETARY

  • He/she is responsible For all the general secretary activities if is absent for any reason

TREASURER

  • He/she will be the treasurer accountant of the foundation.
  • He/she will be responsible to supervise all foundation bills and revenue.
  • To introduce and plan all projects to increase income of the foundation.
  • To ensure all bills and foundation debts are paid accordingly and in time.
  • He/she will be accountable to all duties given by the general meeting.

SECTION 11: EXCUTIVE COMMITTEE

MEMBERS OF EXCUTIVE COMMITTEE

DICHE FOUNDATION will have an executive committee which will have the following representatives;
o The Chairman of the Foundation.
o Vice Chairman
o General secretary.
o Assistant secretary.
o Treasurer.
o And two representative s who will be selected from the members of the foundation.
 The Chairman of the foundation will be the chairperson of this committee.
 The Executive committee meeting will be held three times per on April, August and December.
 All committee members shall be given at least seven (7) days notice of a meeting unless it is considered an emergency meeting.
 All meetings must be minuted and available to any interested members.

   SECTION 12: DUTIES OF THE EXECUTIVE COMMITTEE

 The Executive committee has the duty to prepare and suggest on the general meeting.
 Has the duty to report and plan on future projects of the foundation.
 To operate and coordinate all Incomes and Expenses activities of the foundation.
 To follow up, suggest and build up better relations with other local community, national and international counterparts.
 To account for its actions and consider the regeneration and development according to the foundations objectives
 To establish and manage the available resources of the foundation.
 To over see the members discipline and codes of conduct.

SECTION 13: EXECUTIVE COMMITTEE MEETING.
Executive committee meeting will be held three times per year April, August and December. Where by an emergency meeting can be held on when the Chairman of the foundation and General secretary together have agreed upon that meeting.

ARTICLE 6: DICHE FOUNDATION ELECTION AND LEADERSHIP

SECTION 14: THE CHAIRMAN
 The Chairman will be selected by the General meeting considerably from the members of the foundation.
 The Chairman has the authority to be a leader for a period of five years and should leave the office after that period of time for another election.

SECTION 15: GENERAL SECRETARY.

 The General secretary will be selected by the general meeting considerably from the members of the foundation.
 The general secretary has the authority to be in office for a period of five years but can also be selected for another season of election.

SECTION 16: TREASURER.

 The treasurer will be selected by the general meeting considerably from the members of the foundation.
 The treasurer has the authority to be in office for a period of five years but can also be selected for another season of election.

SECTION 17: ELECTION OF A LEADER.

To be selected as a leader of DICHE FOUNDATION;
The Chairman, General secretary and Treasurer of the foundation together with their Assistants are able to be selected again for another season of leadership therefore a member is allowed to be selected only twice.

SECTION 15: GENERAL PUBLIC MEETING.

Representatives of the General meeting,
 General meeting is the high organ of decision making which will involve all members of the foundation.
 The Chairman is the chair of the general meeting if by any reason absent then the members shall select a chairperson who on behalf of the Chairman shall sit on his chair and leave all the duties after the meeting and should address the minutes of the meeting to the Chairman of the foundation.

SECTION 16: AUTHORITY OF THE GENERAL MEETING.

 Receiving a report and presentation of the last financial years accounts from the Treasurer on the finances of the foundation.
 Overseeing the foundation policies and to account and amendment of any regulation of the foundation
 Suggesting plans to increase income of the foundation so as improve provision of services and needs to disabled orphan children in the area of coverage.
 Discuss and approve the financial budget of the foundation.
 Electing a new Executive Committee and considering any other matter as may be appropriate at such a meeting.
 To approve the Foundation’s contribution fees for the coming financial year.
 Amendment of regulations and rules of the foundation.

SECTION 18: ANNUAL GENERAL MEETING.

 The Annual general meeting will be once per year.
 The meeting will be rightful to take place if (51%) of the representatives is present before the meeting starts.
 The decisions will be made under consideration of (51%) of the total representatives of the members of the foundation.
 At least fourteen (14) days notice of the Annual general meeting must be given and advertised.

SECTION 19: SPECIAL MEETING(EMERGENCY MEETING)

 The special/Emergency meeting will be held only when an emergency occurs which can’t wait until the General meeting.
 At least seven(7) days of the Emergency meeting should be given an advertised.
 The Special meeting should only follow the Agendas that made the meeting to be urgent.

ARTICLE 7: FINANCE, SOURCES OF INCOME AND REVENUE OF THE FOUNDATION.

The financial year of the foundation will have a term of twelve(12) months from January and will end on the end of December.

SECTION 20: SOURCES OF INCOME

The Foundation will have the following sources of income;
 Entry fee to new members.
 Annual contribution fee
 Public Fundraising.
 Grants and sponsorship from counterparts, sponsors and other local community, national and international organizations, government institutions, religious……,
 Legal activities and projects established by the foundation that aim to increase and improve the provision of services to disabled orphan children, women and senior ages.
 Public auction of the Foundation’s properties that are proved not in use(Condemned assets)
 Investment in different companies for instance buying of hiss and establishment of community radios which will help to promote the community’s awareness on matters associated with the marginalized group with the association with both local and international counterparts.

SECTION 21: REVENUE
The Foundation’s expenses will be done according to the needs and wants of the foundation and not otherwise.

SECTION 22: BANK ACCOUNTS AND MONETIZATION.

 The foundation will open an account on the Bank that will selected by the general meeting.
 The account will have to be signed by four personnel thus Chairman, General secretary, Treasurer and one representative from the executive committee approved from the general meeting. Who will report to the executive committee for approval before the general meeting to take place.

ARTICLE 8: ALTERATION OF THE CONSTITUTION.

 Alterations of this constitution can be done by the general meeting as well as the Emergency meeting which will be held on special/urgent basic.
 Proposal of alterations of the Foundation’s constitution should be addressed to the Executive secretary who will deliver the agenda to the members three months before the meeting.
 Conclusion of the alteration of the constitution will be approved by two thirds (2/3) of the foundation representatives of the general meeting whether to include or exclude certain section in this constitution.

SECTION 23: DISSOLUTION OF THE FOUNDATION.

 The foundation may be wound up at any time if agreed by two thirds of those representatives formed by the General meeting of six(6) executive committee members where as the Chairman and executive secretary must be present.
 Any assets or debts shall be returned to their providers, if they require it, or shall be passed to another foundations with similar aims.

SECTION 24: STAMPS OF THE FOUNDATIONS.

The foundation will have a stamp which will include the Name DICHE FOUNDATION and address of the foundation.
The stamp will be available and legally used by the General secretary’s office.

 DICHE FOUNDATION is recruiting for staff members to participate in it's duties with both skilled and unskilled personnel with willingness, commitment, hospitality, integrity and ready to work in both Tanzania Mainland and Island.

         MAIN OBJECTIVES/MISSION OF DICHE FOUNDATION.
